Restate Articles of Incorporation

Hello LowellArts Member,


We've got some important news to share. Our Board of Directors has called a Special Meeting to update our organization's founding documents (the Articles of Incorporation). Don't worry - we're following all the rules in our current Bylaws to make these changes.


As a valued member, we'd love for you to be part of this process! You have two options to participate:

  1. Vote via email

  2. Vote in person on July 25 at 6:00PM at LowellArts


Your input matters to us, so we hope you'll take part in whichever way is most convenient for you. Let us know if you have any questions!


Pursuant to Article V Section 6 of the Bylaws, a Special Meeting was called for by the Board of Directors for the purposes of amending and restating the Articles of Incorporation.   


Pursuant to Article V Section 7 of the Bylaws, notice of the Special Meeting was provided in the July 3, 2024 email communication to all members of Lowell Area Arts Council in good standing. A draft of the proposed Amended and Restated Articles were attached to the email. A list of those members was certified as true and accurate by Secretary Mary Tobin and is available for review upon request.  

As a certified member, you have the right to vote on the Board of Directors' Motion to Amend and Restate the Articles of Incorporation. In summary, this motion aims to:


  1. Change the official name of the organization to Lowell Arts;

  2. Update the organizational structure from membership to directorship with members, aligning with our historical practice;

  3. Update the purpose and mission;

  4. Increase the indemnification for volunteer directors to the maximum extent permitted by law.



Cast your vote to approve, disapprove, or abstain from the Motion to Amend and Restate the Articles of Incorporation in one of two ways:


1 - Vote By Email

  • Email your vote by July 25, 5:00pm.

  • How to vote: REPLY to this notice or email directly to

  • Indicate your response to the following: "I vote to approve the motion by the Lowell Area Arts Council Board of Directors to Amend and Restate the Articles of Incorporation as provided to me in draft form for review."

  • Possible responses: YES, NO, ABSTAIN


2 - Vote In-Person

  • Attend the in-person meeting on July 25, 2024 at 6:00pm.

  • Location: 223 W Main St, Lowell, MI 49331 in the gallery.

  • Cast your vote on the paper ballot provided at the meeting.

Voting by Email: Please respond by electronic message (email reply to by 5:00pm on July 25, 2024. Late votes or responses received after that time will not be counted but you may attend the in-person meeting to cast your vote if you miss the deadline. The Secretary will note email responses received to verify no more than one vote per member was cast. The emailed vote will be printed, and any personal identifying information will be redacted. The email votes will then be tallied at the same time as the in-person votes. 


In-Person Votes: The board will answer any questions about the proposed changes at the in-person meeting immediately prior to taking an in-person vote on the issue. You may only vote one time and you may not change your vote, so if you have questions, please plan to attend the in-person meeting. 

The original Articles of Incorporation date back to when the organization was founded in 1977. With your help, we can make these important updates, strengthening the organization and its mission.
